Please read these Terms and Conditions carefully before using our services. By accessing or using any part of our services, you agree to be bound by these terms.

1. Terms of Acceptance

While you probably won't read these terms and conditions in full, it is important that you at least glance at them prior to making your purchase, so that you understand what your floral delivery entails.

1.1 Overview

The following Terms and Conditions (“TOS”) govern all use by you as a User or Visitor of (a) Compassion Flowers websites and domains, (b) any and all services available on or through the site or otherwise provided by Compassion Flowers, and (c) all software (collectively, the “Services”). By using or accessing any part of the Services, you agree to all of the terms and conditions contained herein. If you do not agree to any of such terms, please do not use or access the Services.

1.2 Modification

Compassion Flowers reserves the right, at its sole discretion, to modify or replace any of the terms or conditions of these TOS at any time. It is your responsibility to check these TOS periodically for changes. Your continued use of the Services following the posting of any changes constitutes acceptance of those changes. If any change is not acceptable to you, your sole remedy is to cease accessing and using the Services.

2. Description of Compassion Flowers

Compassion Flowers provides a simple and quick means for individuals to pick their flowers and have them arranged by seasoned florists, packaged, and delivered. Users may visit the site, fill out details about their delivery and payment, and have flowers delivered to the location of their choice. 3. Using Compassion Flowers Services

While we want our users to have a great experience, there are a few housekeeping points to consider. Please do not:

• Create or manage multiple Compassion Flowers accounts, unless we have given express permission to do so.
• Publish any content that is illegal, vulgar, obscene, improper, stolen, or threatening in any way. Compassion Flowers does not tolerate racist or bigoted content in any form.
• Publish content that infringes on Canadian or international laws and conventions.
• Publish information that infringes patents, IP laws, registered trademarks, manufacturing secrets, or any other proprietary rights.
• Collect, share, or store personal information related to other users.

4. Delivery Options

Upon using Compassion Flowers services, you will receive notifications via email or telephone regarding your deliveries.

5. Site Content, Copyright & Intellectual Property

All material contained in or delivered via the Services, including information, data, software, text, design elements, graphics, and images (“Site Content”), is protected by copyrights, trademarks, service marks, trade secrets, and other proprietary rights and laws. Except as expressly authorized by Compassion Flowers in writing, you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publish, adapt, edit, or create derivative works of any Site Content. Any rights not expressly granted herein are reserved.

6. No Guarantee

While Compassion Flowers makes every effort to provide stellar services, we make no guarantee that our services, content, or website will be operable at all times or during any downtime caused by power outages, server outages, scheduled maintenance, or events beyond our control such as strikes, riots, government action, natural disasters, or internet service disruptions.

7. Substitution Policy

Substitutions may be necessary to ensure your arrangement is delivered in a timely manner. The utmost care and attention is given to your order to ensure it is as similar as possible to the requested item.

• In arrangements of assorted flowers, the colours shown online will be used if at all possible, even if this means substituting other kinds of flowers of equal or greater value.
• For one-of-a-kind arrangements such as all roses or all lilies, we will make every attempt to match the flower type, but may substitute with another colour.
• If the floral container shown online is not available, a similar container will be used.

8. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. Compassion Flowers expressly disclaims all warranties of any kind, express or implied, including implied warranties of merchantability, title, non-infringement, and fitness for a particular purpose. Compassion Flowers makes no warranty that the Services will meet your requirements, be uninterrupted or error-free, or that any errors will be corrected. The foregoing disclaimers shall not apply to the extent prohibited by applicable law.

9. Reporting Misconduct & Policy Violations

You may report the misconduct of users, visitors, and/or third parties in connection with the site or any Services to Compassion Flowers. Compassion Flowers, in its sole discretion, may investigate the claim and take necessary action, which may include removing content temporarily or permanently.

10. Limitation of Liability

Compassion Flowers shall not be liable under any circumstances for any indirect, incidental, special, consequential, punitive, or exemplary damages, including damages for missed deliveries, wilted or expired blooms, or other intangible losses. Compassion Flowers’ aggregate liability for all claims with respect to the Services shall not exceed $200.00 CAD. The foregoing limitations shall not apply to the extent prohibited by applicable law.

11. Indemnity

You agree to defend, indemnify, and hold Compassion Flowers and its affiliates, officers, directors, agents, partners, and employees harmless from any and all damage, loss, liability, cost, and expense (including reasonable attorneys’ fees) resulting from any claim due to or arising out of your content, your use of the Services, your violation of these TOS, and/or your violation of any rights of another.

12. Links & Third-Party Content

The Compassion Flowers site may contain links to websites operated by third parties. These links are provided for the benefit of our users. Compassion Flowers does not control the content or actions of these sites and is not responsible for third-party content. If you decide to leave the Compassion Flowers site and access a third-party site, you do so at your own risk.

13. Governing Law

This agreement shall be interpreted and governed by the laws of the Province of Ontario. Any financial controversy or claim arising out of or relating to this agreement shall be settled by arbitration with a single arbitrator in accordance with the rules of the Alternative Dispute Resolution, Ontario. Any arbitration will take place within the Province of Ontario.
